Canary Bridge B.V.

Trade Terms & Compliance

Effective 2026. This statement sets out the trading standards and compliance frameworks Canary Bridge B.V. applies to its buyer-supplier matching, logistics, and consulting activity across international markets.

1. Purpose & Scope

This statement covers how Canary Bridge B.V. structures and executes cross-border trading, shipping, and sourcing engagements — the trade terms, payment mechanisms, and compliance frameworks that apply to goods and products moving through our network, regardless of origin or destination market.

2. Incoterms® 2020

All shipments we arrange or advise on are structured using Incoterms® 2020, published by the International Chamber of Commerce — the current and only valid edition. Every quote and contract we issue names the specific rule used (e.g. FOB, CIF, DDP) and the named port or place, so cost, risk, and responsibility are unambiguous between buyer and seller at every step.

3. Governing Law & Sale of Goods

Where a transaction falls under the UN Convention on Contracts for the International Sale of Goods (CISG), we account for that in contract drafting. Because the United Kingdom has not ratified the CISG, contracts touching UK counterparties specify governing law explicitly rather than relying on a default framework.

4. Payment Terms & Late Payment

For transactions within the EU, we structure payment terms with reference to the Late Payment Directive (2011/7/EU), which sets maximum standard payment periods and statutory interest for overdue commercial payments. We calibrate payment method and timing per corridor to balance speed, cost, and counterparty risk.

5. Letters of Credit & Payment Security

Where letters of credit are used, they are structured in accordance with UCP 600, the ICC's Uniform Customs and Practice for Documentary Credits — the global standard governing how banks handle and honour trade documentation.

6. Customs & Import/Export Compliance

Shipments moving through the EU are handled in line with the Union Customs Code, covering classification, valuation, and origin documentation. We verify documentation accuracy before goods move, to avoid delays or penalties at the border.

7. Sanctions & Export Controls

Every counterparty and shipment is screened against applicable EU, UK, and UN sanctions regimes and export control lists before a transaction proceeds, consistent with our wider Business Ethics Policy.

8. Dispute Resolution

Where contracts require a dispute resolution mechanism, we default to ICC Arbitration Rules — the most widely recognised framework for resolving cross-border commercial disputes without relying on a single jurisdiction's courts.

9. Fair Trading

We do not engage in price-fixing, market allocation, or other conduct that would breach EU competition law (Articles 101–102 TFEU) or equivalent national rules, and we expect the same standard from every supplier and partner in our network.

10. Review

This statement is reviewed periodically alongside our Business Ethics Policy, and updated as applicable trade law, Incoterms revisions, or best practice evolve.
